LEGAL / TERMS

Terms of Service

These Terms of Service form an agreement between you and Orbit8r Group LLC ("Orbit8r", "we", "us", or "our"). They govern your access to and use of Orbit8r's website, cloud platform, APIs, managed services, support, and related products (collectively, the "Services"). Billing, cancellations, and prepaid AI/GPU credit refunds are also governed by the Refund & Cancellation Policy. By creating an account, accepting an order, or using the Services, you agree to these Terms.

1. Eligibility and accounts

You must be legally able to enter into this agreement. If you use the Services for an organization, you represent that you have authority to bind it. You are responsible for accurate account information, safeguarding credentials, assigning appropriate workspace roles, and all activity under your account. Notify us promptly of suspected unauthorized access.

2. Services and orders

Services, limits, included allowances, support levels, and fees are described on the applicable pricing page, order form, or service description. An order form controls if it conflicts with these Terms. We may improve, modify, or discontinue features, but we will not materially reduce a paid service during a committed term without providing a reasonable remedy where required by law.

3. Acceptable use

You may not use the Services to break the law, infringe rights, distribute malware, conduct phishing or fraud, evade sanctions, abuse payment systems, perform unauthorized scanning, attack systems, mine cryptocurrency without written permission, host unlawful content, or interfere with the platform or another customer. You may not bypass usage limits, resell access without authorization, or use the Services to build a competing service using non-public features.

4. Customer content and responsibilities

You retain ownership of data, code, prompts, files, configurations, and other material you submit or run through the Services ("Customer Content"). You grant Orbit8r a limited license to host, process, transmit, back up, and display Customer Content solely to provide, secure, support, and improve the Services. You are responsible for having the rights and notices required for your Customer Content, its legality, backups, and your workloads' security.

5. Intellectual property

Orbit8r and its licensors own the Services, software, documentation, branding, interfaces, and improvements. Except for the limited right to use the Services during your subscription, no rights are transferred. You may provide feedback without restriction, and we may use it without compensation or confidentiality obligations.

6. Privacy and security

Our Privacy Policy explains how we process personal information. We maintain commercially reasonable administrative, technical, and organizational safeguards. You must not submit regulated, sensitive, or personal data unless the applicable service and written agreement support it. Where required, the parties will execute a data processing addendum.

7. Fees, usage, taxes, and refunds

Subscription plans are billed separately under the applicable plan or order. Purchased prepaid credits are available only in USD 20, USD 50, and USD 100 packages for AI inference and GPU usage, do not expire, and do not enable automatic reload. Credits are consumed only when eligible AI/GPU usage is enabled; no postpaid usage billing applies. You authorize our payment provider to charge the selected payment method when a purchase is enabled for your workspace. You are responsible for taxes other than taxes on Orbit8r's net income. Usage is measured using our platform records. Unused purchased balance may be eligible for a refund subject to review under the Refund & Cancellation Policy; purchased credits are not cash. Billing questions must be raised within 30 days of the invoice.

8. Suspension and termination

We may suspend access when reasonably necessary to address security, abuse, legal requirements, non-payment, or material risk, while seeking to limit the suspension to the affected workspace. Either party may terminate for material breach that remains uncured for 30 days after written notice, or immediately where continued use is unlawful or creates a serious security risk. On termination, your right to use the Services ends and we may delete Customer Content after a reasonable retrieval period, subject to legal and backup retention requirements.

9. Third-party services

The Services may integrate with third-party providers. Their products are governed by their own terms, availability, and privacy practices. Orbit8r is not responsible for third-party services or customer-selected integrations, except to the extent expressly stated in an order form.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. You remain responsible for evaluating whether the Services are appropriate for your workloads and regulatory obligations.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business interruption. Each party's aggregate liability arising from the Services is limited to the fees paid or payable by you for the affected Services during the 12 months before the event giving rise to the claim. These limits do not limit liability that cannot legally be limited, including fraud, willful misconduct, or payment obligations.

12. Indemnification

You will defend and indemnify Orbit8r and its personnel against third-party claims arising from your Customer Content, your misuse of the Services, your violation of these Terms, or your breach of law. Orbit8r will defend you against a third-party claim that the unmodified Services infringe a patent, copyright, or trademark, and may modify, replace, or terminate the affected feature if necessary.

13. Confidentiality

Each party will protect non-public information received from the other party and use it only to perform this agreement. Confidentiality obligations do not apply to information that is public without breach, independently developed, lawfully received, or required to be disclosed by law with notice where permitted.

14. Changes and general terms

We may update these Terms by posting a revised version and changing the effective date. Material changes will receive reasonable notice. Continued use after the effective date means acceptance. Neither party may assign this agreement except to an affiliate or successor in connection with a merger or sale of substantially all assets. Neither party is liable for delay caused by events beyond reasonable control. These Terms, applicable order forms, and referenced policies are the entire agreement.

15. Governing law and contact

Unless an order form states otherwise, these Terms are governed by the laws applicable to Orbit8r Group LLC's principal place of business, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve disputes through written notice and business discussion. Legal notices: legal@orbit8r.com. Support: support@orbit8r.com.
